Terms of Service

These Terms of Service ("Terms") govern your use of BrightSpark, the identity and Sparks rewards service operated by Kirby Browne (Pvt.) Ltd("Kirby Browne", "we", "us"). By creating a BrightSpark account or using the service, you agree to these Terms. If you do not agree, do not use BrightSpark.

1. Eligibility

You must be at least 13 years old to use BrightSpark. By using the service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms in your jurisdiction.

2. Your Account

  • You may hold one BrightSpark account at a time. Creating multiple accounts to abuse Sparks issuance, referrals, or other features is prohibited.
  • You are responsible for the accuracy of the information you provide and for keeping your password and two-factor authentication credentials secure.
  • You are responsible for all activity that occurs under your account. Notify us immediately at security@brightspark.co.zw if you suspect unauthorised access.
  • You may delete your account at any time from the Settings section of your dashboard.

3. Acceptable Use

You agree not to:

  • Use BrightSpark in violation of any applicable law or regulation.
  • Attempt to defraud, manipulate, or game the Sparks economy — including, without limitation, generating Sparks through fake accounts, automated traffic, or false claims of activity.
  • Reverse engineer, decompile, or attempt to extract source code from BrightSpark, except to the extent permitted by applicable law.
  • Probe, scan, or test the vulnerability of BrightSpark systems without our written permission, or interfere with the service for other users.
  • Use BrightSpark to harass, abuse, defame, or impersonate any person or organisation.
  • Resell, sub-licence, or redistribute access to BrightSpark without our written permission.

4. Sparks

  • Sparks have no cash value. Sparks are loyalty points awarded by BrightSpark and partner applications. They are not currency, are not redeemable for cash, and have no monetary value outside the BrightSpark ecosystem.
  • Non-transferable. Sparks are tied to your account and may not be sold, gifted, or transferred to another user.
  • Earning. Each partner application decides what activities earn Sparks, how many, and within what limits. BrightSpark enforces global daily and monthly user caps to maintain the integrity of the economy.
  • Anchor rate. Kirby Browne sets a reference value (currently 500 Sparks per US$1) which may be reviewed and adjusted from time to time. The anchor rate is a reference for partner application pricing and not a guarantee of redeemable value.
  • Adjustments and reversals. We may revoke, freeze, or reverse Sparks balances obtained in violation of these Terms (including fraud, abuse, or error).
  • Expiry. Unused Sparks may expire after a period of account inactivity, which we will publish in advance and notify you about by email.

5. Connected Applications

BrightSpark provides single sign-on and Sparks ledger access to partner applications ("clients") in the Kirby Browne ecosystem and beyond. When you sign in to a client application using BrightSpark:

  • You explicitly grant the client access to the data scopes shown on the consent screen.
  • Activity within the client application — what you read, post, purchase, predict, etc. — is governed by that client's own terms and privacy policy, not these.
  • You can revoke any client's access to your account at any time from the Apps section of your dashboard.
  • Sparks earned in one client application may be spent on rewards offered by other clients that have opted in to cross-platform acceptance. Cross-platform availability is at each client's discretion.

6. Buying Sparks (Partners)

Partner organisations may purchase Sparks allocations from Kirby Browne at a wholesale rate to issue to their users. Sparks purchased by partners are non-refundable once issued to users. The full terms of partner Sparks purchases are governed by a separate Partner Agreement between Kirby Browne and the partner.

7. Intellectual Property

BrightSpark, including all software, design, logos, text, and the "BrightSpark" and "Sparks" names, is owned by Kirby Browne and protected by intellectual property laws. You retain ownership of any content you submit; by submitting it, you grant Kirby Browne a worldwide, non-exclusive licence to use it solely for the purpose of operating and improving the service.

8. Termination

You may stop using BrightSpark and delete your account at any time. We may suspend or terminate your account if we reasonably believe you have violated these Terms, harmed other users, or exposed Kirby Browne or the ecosystem to legal or financial risk. We will give you reasonable notice and an opportunity to respond except where doing so would prejudice an investigation, expose other users to harm, or be required by law.

9. Disclaimers

BrightSpark is provided "as is" and "as available". To the maximum extent permitted by law, Kirby Browne disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure against every threat.

10. Limitation of Liability

To the maximum extent permitted by law, Kirby Browne, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of BrightSpark. Kirby Browne's total aggregate liability arising out of or in connection with these Terms shall not exceed US$50 or the total amount you paid Kirby Browne for the service in the twelve months preceding the claim, whichever is greater.

11. Indemnification

You agree to indemnify and hold Kirby Browne harmless from any claim, demand, or loss (including reasonable legal fees) arising out of your violation of these Terms or your misuse of BrightSpark.

12. Governing Law and Disputes

These Terms are governed by the laws of Zimbabwe. Any dispute arising out of or in connection with these Terms or your use of BrightSpark shall be submitted to the exclusive jurisdiction of the courts of Zimbabwe.

13. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by email and post a notice in your dashboard at least 14 days before the change takes effect. Your continued use of BrightSpark after the effective date constitutes acceptance of the revised Terms.
